ADDvise conducts offset share issue of SEK 4.6 million for the partial refund of bond

The Board of ADDvise resolved on February 1st 2016 to issue 2 173 000 shares of series B at a price of 2.10 SEK with deviation from the shareholders' preferential rights. The issue offsets the holder's nominal bond claim against ADDvise of approximately 5.0 million SEK, including accrued interest as of the date of settlement, which amounts to 25 000 SEK. However, the market value of the holder´s bond claim amounts to approximately 4.6 million SEK. At the same time the issue also broadens ADDvise shareholder base of institutional investors. The settlement of the bond loan is made to a bond price of 94.5 SEK per bond. Thus, the Board of ADDvise, with the authorization from the Annual General Meeting 2015, decided on a new share issue of 2 173 000 shares of series B at the subscription price of 2.10 SEK per share. The new issue entails a dilution of approximately 7.6 percent of the share capital of the Company.

The issue increases the number of shares of series B in the Company by 2 173 000 shares. The company's total number of outstanding shares increases from 26 259 647 shares to a total of 28 432 647 shares, divided into 7 619 439 shares of series A and 20 813 208 shares of series B. The new issue increases the share capital by 2 173 000 SEK, from 26 259 647 to 28 432 647 SEK and increases the number of votes from 9 483 460 to 9 700 760 votes.
