ADDvise issues new USD senior secured bonds and partially repurchases outstanding SEK senior secured bonds

21-03-2024   Regulatory press release

ADDvise Group AB (publ) (the “Company”) announces today that it has successfully placed senior secured bonds in an amount of USD 60 million under a framework of USD 200 million with a tenor of 3 years (the “New Bonds” or the “Bond Issue”). The New Bonds will carry floating rate interest of SOFR plus 4.25 per cent per annum and were issued at par. The Bond Issue saw strong demand from a broad base of Nordic and international institutional investors and was significantly oversubscribed.

As announced on 18 March 2024, the Company offered a partial buy-back to the holders of the Company’s outstanding senior secured floating rate bonds maturing on 26 May 2026 with ISIN SE0020180271 (the “SEK Bonds”) in connection with the Bond Issue (the “Buy-Back”). SEK Bonds in an aggregate nominal amount of SEK 400 million were repurchased by the Company in the Buy-Back at a price equal to 104.25 per cent of the nominal amount plus accrued and unpaid interest from, but excluding, the previous interest payment date until, and including, the settlement date of the Buy-Back. Settlement of the Buy-Back will coincide with the settlement of the Bond Issue which is expected to take place on 4 April 2024.

The Bond Issue and the Buy-Back mark an important milestone for ADDvise in aligning its long-term funding with its operational currency exposure and at the same time extending the Company’s debt maturity profile.

Pareto Securities AB acted as Sole Global Coordinator and Joint Bookrunner and Skandinaviska Enskilda Banken AB (publ) acted as Joint Bookrunner in connection with the transaction. Gernandt & Danielsson Advokatbyrå acted as legal advisor.
